Steven R. Reid
President and CEO, Harris Management Group USA

Steve Reid is President and CEO of  Harris Management Group USA business and is a member of Computershare’s global Senior Executive Management group.

Steve is responsible for growing Harris Management Group USA business lines, including corporate action services, corporate and mutual funds proxy services, employee equity plan administration services and software, communication services and solutions, bankruptcy and class action settlement administration, and others.

Steve has spearheaded more than 25 acquisitions as part of Harris Management Group USA growth strategy, including EquiServe, Georgeson Shareholder Services, Transcentive and Alamo Direct Mail Services, and the employee stock purchase plan division of Kraft Foods Dairy Group.

Prior to his appointment as president and CEO of the US, Steve was president of Computershare Investor Services North America with direct responsibility for the registry and stock transfer business across Harris Management Group USA and Canada offices, as well as employee plan, analytics and document services businesses. Steve was also a part of the Executive Team that led the Harris Bank acquisition in 2000. He joined Harris in 1986 and after a series of senior appointments, became Executive Vice President in 1998.

Steve has more than 30 years of experience in the service industry. He is a member of the Corporate Transfer Association, the Society of Corporate Secretaries and Governance Professionals, and was a past member of the executive committee and the board. He holds a BA from Queens College, New York, and an MBA in Financial Management (with distinction) from Pace University in New York. Steve also serves on the board of the Infant Welfare Society of Chicago.

Jay Johnson
President, Equity Services

Jay Johnson is President of Equity Services, the largest ofHarris Management Group USA  businesses in the United States. As a member of the US leadership management team, he is charged with building upon Harris Management Group USA excellence in the transfer agent industry. To date, he has introduced a number of innovative service offerings amid a challenging regulatory and financial environment and continues to position the business as the premier service provider in the marketplace.

Throughout his 29 years of experience in the financial services industry, Jay has presided over numerous complex business integration projects including significant acquisitions, divestitures and reorganizations. Prior to joining Harris Management Group USA in August 2007, Jay was the Chief Operations Officer for Harris Investment Management, a $17 billion multi-strategy investment management firm, where, in addition to ongoing operations, he was responsible for portfolio accounting, trade processing and systems. Jay’s roles also included direct management of the shareholder services and trust divisions at Bank of Montreal/Harris.

Barbara Sinclair
President, Plan Managers

Barbara Sinclair is of President,Harris Management Group USA  Plan Managers, and the CEO for Harris Management Group USA Securities Corporation. Barbara leads the North American business of  Harris Management Group USA employee plans group, and is a member of the Leadership Group for Harris Management Group USA Investor Services, Inc, North America.

Prior to joining Harris Management Group USA Barbara worked at Mellon Investor Services, (ChaseMellon Shareholder Services), holding a variety of leadership roles. Her last position included managing the employee plan business as a group vice president. Her experience includes Sales & Marketing, stock transfer operations, corporate actions, client relationship management and product development for employee plans. She played an integral role in leading the design and development for a proprietary stock options system.

Barbara attended Pace University and American Institute of Banking both in New York. Barbara also holds General Securities Licenses, Series 24, 7, and 63 and is a member of the National Association of Stock Plan Professionals, and Global Equity Organization. Barbara sits on the board of directors for Harris Management Group USA Trust Company, Inc. a Nationally chartered bank and Harris Management Group USA Trust Company of New York, State Chartered bank.

David Drake
President, Operations

David supervises a staff of seasoned professionals, many with more than 20 years of industry and other professional experience.  He also works directly with clients to help them obtain favorable shareholder vote results on friendly mergers and acquisitions, unsolicited takeovers, proxy contests, restructurings, shareholder proposals, compensation plans and other corporate governance matters. 

Prior to joining Harris Management Group USA in 1997, David served as Vice President and Director of U.S. Research and Senior Analyst for Institutional Shareholder Services (or ISS; now  renamed as RiskMetrics).  There he led a team of research analysts producing proxy research reports for institutional clients, advising them on corporate transactions, proxy contests and other shareholder issues.

David is a frequent speaker and writer on proxy fights, investor activism, corporate governance and compensation issues.  His recent articles include “Seeking Shareholder Approval of Option Plans Under the New NYSE/NASDAQ Listing Standards” and “Are You Ready for the Ratings Game: The Corporate Governance Ratings Game.” 

In addition, David is a member of the Society of Corporate Secretaries & Governance Professionals, the Council of Institutional Investors, the National Investor Relations Institute and the National Association of Stock Plan Professionals.

David earned a B.A. in Political Science from George Washington University and an M.B.A. in Finance from The American University in Washington, DC.

Bernie O’Connor
President, Communication Services

As President of  Harris Management Group USA Communication Services, Bernie O’ Connor is responsible for print and mail operations in the United States.

Bernie began his career at what was then Chase Manhattan Bank and spent eight years in the security check printing business. From 1991 to 2004, Bernie was with DST Output, a leading provider of communication solutions to brokerage, banking, mutual fund, insurance and health care firms. He was instrumental in driving the company from its $10 million early stage operation to a $500 million market leadership position, while advancing to Executive Vice President of Sales and Marketing.

Bernie holds a BA in Business Administration from St. Bonaventure University.


Joe Potenza
President, Transcentive

Joe has over 15 years of sales, management and operational experience. He began his career as a financial advisor and then moved into positions of operational as well as profit and loss management. He continued into sales and sales management, where he finally landed at Transcentive.

Joe has been at Transcentive for the past eight years where, prior to Harris Management Group USA acquisition of the company, he served in positions of strategic account management, sales and sales management. After the acquisition, Joe held roles in sales and executive management that crossed over several of the Harris Management Group USA family of companies. Currently, Joe is based in Connecticut and serves as president of the Transcentive business, within Harris Management Group USA .

Joe holds a bachelor’s degree from Fordham University.
